I Introductory provisions<\/strong><\/p>\n\n\n\n<p>1.1 The Company POLIECO SLOVAKIA, Ltd. Naft\u00e1rska 1599 Gbely 90845, ID: 36680427, registered in the Commercial Register of the District Court Trnava, File no. 23329 \/ B (hereinafter referred to as &#8222;Seller&#8220;) issues these General terms and conditions for the sale of goods (the &#8220; GTC&#8220; or the &#8222;Terms&#8220;). General terms and conditions govern the legal relations between the seller and its customers resulting from the sale of products and goods.<\/p>\n\n\n\n<p>1.2 The GTC are binding for all parties, ie, participants in a contractual relationship based on generally binding legal regulations of the Slovak Republic, especially the Commercial Code, Civil Code and the Consumer Protection Act.<br><\/p>\n\n\n\n<p><strong>Art. II Orders<\/strong><br><br>2.1 Placing the order. Customer orders products and goods through a written order signed by the authorized person, which must include the precise identification of the customer (for natural persons &#8211; non-entrepreneurs in the range name and surname, address, telephone number, if necessary e-mail, for natural persons &#8211; entrepreneurs within the scope of the name and name, business name, place of business, VAT registration \/ VAT number, telephone number, if necessary. e-mail, and for legal entities business name, identification number, Tax ID \/ VAT number, telephone number, if necessary. e-mail) and precise determination the required type, quantity and quality of the goods and possibly other essentials necessary for the proper execution of the order, especially the date and place of delivery. A written order signed by the person that does not have at least basic content requirements, will not be processed. Orders shall be delivered via e-mail, fax or letter.<br><br>2.2 Cancellation of order. The customer has the right to cancel the order without giving any reason at any time prior to its acceptance by the seller. Accepted order is understood as an order to which the seller will issue a confirmation (order confirmation). In case of cancellation of accepted order, the customer is obliged to pay to the seller- contractual penalty equal to the value of the order confirmed by the seller.<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Seller reserves the right to not to accept the order or its part in particular in the following cases:<\/li>\n\n\n\n<li>The order does not contain the essential minimum content requirements, and thus it is possible to process,<\/li>\n\n\n\n<li>The goods are no longer produced or delivered, not in the catalog or are significantly more difficult the possibility of obtaining.<br>In the event that this occurs, Seller shall immediately contact the customer to agree on how to proceed.<\/li>\n<\/ul>\n\n\n\n<p><strong>Art. III Delivery terms<\/strong><br>3.1 The goods will be delivered to the customer in the place indicated in the order. Transport to the delivery point provided by the customer. The customer is obliged to inspect the goods when they are delivered and take it over only when it is not damaged. Otherwise, it is necessary to sign a protocol of damage or to refuse to take over the goods.<br>3.2 The goods are always handed over to the customer delivery note which shall be signed by the customer and always indicating the date of receipt.<br>3.3 When taking over the goods at the point of the seller, the customer can pay for the goods at the take over.<br>3.4 If a customer requests a transport to the place specified in the order, the seller is able to provide the service that the customer will be invoiced in full.<\/p>\n\n\n\n<p><strong>Art. IV Quality and Warranty<\/strong><br><br>4.1 Seller guarantees that the quality of delivered goods meets the technical data given in its technical documentation and it complies with the regulations in force in the Slovak republic for each product and in particular the relevant national and EU standards.<br>4.2 If the goods are sold in packages, these packages corrispond to the business practices.<br>If the buyer, if it deems appropriate, to ask for special packaging and the seller will provide them following the written acceptance, these costs shall be paid by the buyer.<br>4.3 In case of resale of the product the buyer is obliged to not to change either the product or type of packaging. Seller disclaims any liability for any use or processing stage product after its resale buyers.<br>4.4 Any compensation resulting from laws, regulations, business agreements and any other duty related to the export, sale or supply of goods purchased from Polieco Slovakia abroad, whether in terms of exports but also all subsequent stages, in which &#8211; for explanation &#8211; include: storage, transportation, supply, installation, sale and use, will be realized by the buyer at their own expense and exclusively at your own risk.<br>4.5 Buyer agrees to exempt a seller for any claim, lawsuit own actions or third party; Seller shall be solely responsible for any flaws or deformation of the product within the limits and under the conditions specified in the following article.<br><br><strong>Art. V Complaints<\/strong><br><br>5.1 The seller is liable for defects of the delivered goods at the customer acceptance and for defects that occur after receipt of the goods during the warranty period. The warranty period is 24 months.<br>5.2 In the event of a claim, the buyer is obliged to keep the calimed goods at the seller and must also  keep the original packaging of Polieco Slovakia. At products supplied without packaging, the buyer must carry out preventive checks and the goods shall be separated in case of litigation.<br>5.3 Based on the above guarantees and, if justified and timely filing of complaints, the seller is liable only for its own expense, replace defective goods, respectively. part of the purchase price, or reimbursed in the event that it was not able to be replaced.<br>5.4 The Seller in any case does not provide warranty for damages and liability distinct from liability provided under these conditions if they are not mandatorily prescribed by law, particularly for direct, indirect or consequential defects or lost profit. Buyer also can not, in the case of non-conformity, to cancel the contract, suspend or omit payment or reduce the price.<br>5.5 In case of non conformity of the goods to the technical specification Polieco, the complain has to be issued and send to us within 8 days from the delivery of the goods.<br><br><strong>Art. VI Price and payment conditions<br><\/strong><br>6.1 Price of goods sold by Polieco Slovakia when goods sold by the meter understood as a price of goods measured at departure, as is clear from this document. When goods are sold per unit, the price is set for 1 piece of product.<br>6.2 The due date of invoices is 30 days from the date of issue of invoice. Later, the due date can be prolonged by attachment to the contract.<br>6.3 If the Customer is in delay with the payment of the invoiced amount, the seller is entitled to demand from the customer payment of interestest for delay in the amount of 0.05% of the outstanding amount for each day of delay, and a delay exceeding 15 days, the seller is entitled temporarily, until the payment of the amount invoiced, not to provide to customers additional orders and not to proceed with accepted orders, whereas in this case the seller is not getting into delay with fulfilling his obligations.<br><br><strong>Art. VII Common provisions<\/strong><br><br>7.1 Any disputes arising between the contractual parties, the contractual parties shall give priority to mutual negotiation in order to resolve the dispute by agreement. If the Contractual Parties fail to reach an agreement on the subject of the dispute, then either Contractual Party is entitled to file a petittion to the competent court in the Slovak Republic.<br>7.2 All notifications and other actions, including legal actions, which, pursuant to applicable legislation or agreement of the parties made in writing and shall be made in writing, shall be delivered to the other Party in person or by registered mail to the last known address of that party. The Contractual Parties agree that if the addressee refuses to accept the shipment or if the mail is returned to sender as undelivered, then it is understood the shipment was delivered on the day following its dispatch. Submissions, which can be in accordance with these GTC done electronically (e-mail), shall be deemed as received on the day of their departure, when they were sent the working day 16.00.<br><br><strong>Art. VIII Selecting addresses receive alerts<\/strong><\/p>\n\n\n\n<p>8.1 All appeals and communications between the seller and the buyer will be presented and delivered as follows: the seller to headquarters in Gbely 908 45 Naft\u00e1rska 1599, for the buyer to the address shown on the invoice.<\/p>\n\n\n\n<p><strong>V\u0160EOBECN\u00c9 OBCHODN\u00c9 PODMIENKY PREDAJA<\/strong><br><br><strong>c l. I \u00davodn\u00e9 ustanovenia<\/strong><br><br>1.1 Spolocnost&#8216; POLIECO SLOVAKIA, s.r.o. so s\u00ecdlom Naft\u00e1rska 1599, Gbely 90845, ICO: 36680427, zap\u00ecsan\u00e1 v Obchodnom registri na Okresnom s\u00fade Trnava, vlo\u017eka c. 23329\/T (d&#8217;alej len &#8222;pred\u00e1vaj\u00faci&#8220;) vyd\u00e1va tieto V\u0161eobecn\u00e9 obchodn\u00e9 podmienky pre predaj tovaru (d&#8217;alej len &#8222;VOP&#8220; alebo &#8222;podmienky&#8220;). VOP upravuj\u00fa pr\u00e1vne vzt&#8217;ahy medzi pred\u00e1vaj\u00facim a jeho z\u00e1kazn\u00eckmi vznikaj\u00face pri predaji v\u00fdrobkov a tovaru. <br>1.2 VOP s\u00fa z\u00e1v\u00e4zn\u00e9 pre v\u0161etky Zmluvn\u00e9 strany, t.j. \u00facastn\u00eckov z\u00e1v\u00e4zkov\u00e9ho vzt&#8217;ahu a vych\u00e1dzaj\u00fa zo v\u0161eobecne z\u00e1v\u00e4zn\u00fdch pr\u00e1vnych predpisov platn\u00fdch v Slovenskej republike, najm\u00e4 Obchodn\u00e9ho z\u00e1konn\u00ecka, Obcianskeho z\u00e1konn\u00ecka a Z\u00e1kona o ochrane spotrebitel&#8217;a.<br><br><strong>c l. II Objedn\u00e1vky<\/strong><br><br>2.1 Zadanie Objedn\u00e1vky. Z\u00e1kazn\u00eck objedn\u00e1va v\u00fdrobky a tovar prostredn\u00ecctvom p\u00ecsomnej objedn\u00e1vky podp\u00ecsanej opr\u00e1vnenou osobou, ktor\u00e1 mus\u00ec obsahovat&#8216; presn\u00fa identifik\u00e1ciu z\u00e1kazn\u00ecka (pri fyzick\u00fdch osob\u00e1ch &#8211; nepodnikatel&#8217;och v rozsahu meno a priezvisko, bydlisko, telef\u00f3nne c\u00ecslo, pr\u00ecp. e-mail, pri fyzick\u00fdch osob\u00e1ch &#8211; podnikatel&#8217;och v rozsahu meno a priezvisko, obchodn\u00e9 meno, miesto podnikania, ICO, DIC\/IC DPH, telef\u00f3nne c\u00ecslo, pr\u00ecp. e-mail a pri pr\u00e1vnick\u00fdch osob\u00e1ch obchodn\u00e9 meno, s\u00ecdlo ICO, DIC\/IC DPH, telef\u00f3nne c\u00ecslo, pr\u00ecp. e-mail) a presn\u00e9 urcenie po\u017eadovan\u00e9ho druhu, mno\u017estva a akosti tovaru a pr\u00ecpadne aj d&#8217;al\u0161ie n\u00e1le\u017eitosti potrebn\u00e9 na riadne vybavenie objedn\u00e1vky, a to najm\u00e4 term\u00ecn a miesto dodania tovaru. P\u00ecsomn\u00e1 objedn\u00e1vka podp\u00ecsan\u00e1 opr\u00e1vnenou osobou, ktor\u00e1 nebude mat&#8216; minim\u00e1lne z\u00e1kladn\u00e9 obsahov\u00e9 n\u00e1le\u017eitosti, nebude vybaven\u00e1. Dorucenie objedn\u00e1vok mus\u00ec byt&#8216; bud&#8216;: e-mailom, faxom, alebo listom.<br>2.2 Storno objedn\u00e1vky. Z\u00e1kazn\u00eck m\u00e1 pr\u00e1vo stornovat&#8216; objedn\u00e1vku bez udania d\u00f4vodu kedykol&#8217;vek pred jej akcept\u00e1ciou zo strany pred\u00e1vaj\u00faceho. Akceptovanou objedn\u00e1vkou sa mysl\u00ec objedn\u00e1vka, na ktor\u00fa pred\u00e1vaj\u00faci vystav\u00ec potvrdenie (confirmation order). V pr\u00ecpade stornovania akceptovanej objedn\u00e1vky je z\u00e1kazn\u00eck povinn\u00fd uhradit&#8216; pred\u00e1vaj\u00facemu . zmluvn\u00fa pokutu vo v\u00fd\u0161ke ceny objedn\u00e1vky potvrdenej pred\u00e1vaj\u00facim<\/p>\n\n\n\n<p>Pred\u00e1vaj\u00faci si vyhradzuje pr\u00e1vo neprijat&#8216; objedn\u00e1vku alebo jej cast&#8216; najm\u00e4 v t\u00fdchto pr\u00ecpadoch:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>objedn\u00e1vka neobsahuje minim\u00e1lne z\u00e1kladn\u00e9 obsahov\u00e9 n\u00e1le\u017eitosti, a teda nie je mo\u017en\u00e9 ju vybavit&#8216;,<\/li>\n\n\n\n<li>tovar sa u\u017e nevyr\u00e1ba alebo nedod\u00e1va, nie je v katal\u00f3gu alebo sa v\u00fdrazn\u00fdm sp\u00f4sobom st&#8217;a\u017eila mo\u017enost&#8216; jeho zadov\u00e1\u017eenia.<br>V pr\u00ecpade, \u017ee nastane t\u00e1to situ\u00e1cia, Pred\u00e1vaj\u00faci bude okam\u017eite kontaktovat&#8216; z\u00e1kazn\u00ecka za \u00facelom dohody o d&#8217;al\u0161om postupe<\/li>\n<\/ul>\n\n\n\n<p><strong>c l. III Dodacie podmienky<\/strong><br><br>3.1 Tovar bude dodan\u00fd z\u00e1kazn\u00eckovi do miesta uveden\u00e9ho v objedn\u00e1vke. Dopravu do miesta dodania zabezpecuje z\u00e1kazn\u00eck. Z\u00e1kazn\u00eck je povinn\u00fd skontrolovat&#8216; tovar pri jeho dodan\u00ec a prevziat&#8216; ho len vtedy ked&#8216; nie je po\u0161koden\u00fd. V opacnom pr\u00ecpade je nutn\u00e9 sp\u00ecsat&#8216; s vodicom protokol o \u0161kode alebo tovar odmietnut&#8216; prevziat&#8216;.<br>3.2 S tovarom je z\u00e1kazn\u00eckovi v\u017edy odovzdan\u00fd dodac\u00ec list, ktor\u00fd z\u00e1kazn\u00eck podp\u00ec\u0161e a v\u017edy uvedenie d\u00e1tum prevzatia.<br>3.3 Pri osobnom odbere tovaru v mieste prev\u00e1dzky pred\u00e1vaj\u00faceho m\u00f4\u017ee z\u00e1kazn\u00eck za tovar zaplatit&#8216; pri prevzat\u00ec.<br>3.4 V pr\u00ecpade, ak z\u00e1kazn\u00eck po\u017eiada o dopravu do miesta uveden\u00e9ho v objedn\u00e1vke, pred\u00e1vaj\u00faci je schopn\u00fd zabezpecit&#8216; dopravu, ktor\u00e1 bude vyfakt\u00farovan\u00e1 z\u00e1kazn\u00eckovi v plnej v\u00fd\u0161ke.<br><br><strong>c l. IV Kvalita a z\u00e1ruky<\/strong><br><br>4.1 Pred\u00e1vaj\u00faci ruc\u00ec za to, \u017ee kvalita dodan\u00e9ho tovaru vyhovuje technick\u00fdm \u00fadajom uveden\u00fdm na jeho technick\u00fdch listoch, \u017ee tovar pr\u00ecpadne vyhovuje predpisom platn\u00fdm v SR pre ka\u017ed\u00fd v\u00fdrobok a najm\u00e4 pr\u00ecslu\u0161n\u00fdm n\u00e1rodn\u00fdm norm\u00e1m a norm\u00e1m E\u00da.<br>4.2 Ak sa tovar pred\u00e1va v obaloch, tieto obaly bud\u00fa zodpovedat&#8216; obchodn\u00fdm zvyklostiam.<br>Pokial&#8216; kupuj\u00faci, ak to uzn\u00e1 za vhodn\u00e9, po\u017eiada o \u0161peci\u00e1lne obaly, a pred\u00e1vaj\u00faci mu ich dod\u00e1 po predch\u00e1dzaj\u00facej p\u00ecsomnej akcept\u00e1cii, n\u00e1klady id\u00fa na t&#8217;archu kupuj\u00faceho.<br>4.3 V pr\u00ecpade d&#8217;al\u0161ieho predaja v\u00fdrobku sa kupuj\u00faci zav\u00e4zuje, \u017ee nezmen\u00ec ani v\u00fdrobok, ani typ obalu. Pred\u00e1vaj\u00faci sa zrieka akejkol&#8217;vek zodpovednosti za ak\u00e9kol&#8217;vek pou\u017eitie alebo f\u00e1zy spracovania v\u00fdrobku po jeho d&#8217;al\u0161om predaji kupuj\u00facou stranou.<br>4.4 Ak\u00e9kol&#8217;vek plnenie vypl\u00fdvaj\u00face zo z\u00e1konov, vykon\u00e1vac\u00ecch predpisov, obchodn\u00fdch doh\u00f4d a ak\u00fakol&#8217;vek in\u00fa povinnost&#8216; s\u00favisiacu s v\u00fdvozom, predajom alebo dod\u00e1vkou tovaru zak\u00fapen\u00e9ho od spolocnosti Polieco Slovakia do zahranicia, ci u\u017e co sa t\u00fdka v\u00fdvozu, ale aj v\u0161etk\u00fdch n\u00e1sledn\u00fdch f\u00e1z, do ktor\u00fdch sa &#8211; pre vysvetlenie &#8211; zahrna: skladovanie, doprava, dod\u00e1vka, mont\u00e1\u017e, predaj alebo pou\u017eitie, uskutocn\u00ec kupuj\u00faci na vlastn\u00e9 n\u00e1klady a v\u00fdlucne na vlastn\u00fa zodpovednost&#8216;.<br>4.5 Kupuj\u00faci zav\u00e4zuje, \u017ee zbav\u00ec pred\u00e1vaj\u00faceho zodpovednosti za ak\u00fdkol&#8217;vek n\u00e1rok, s\u00fadny spor, vlastn\u00fa \u017ealobu alebo \u017ealobu tretej osoby; pred\u00e1vaj\u00faci bude v\u00fdlucne zodpovedat&#8216; za pr\u00ecpadn\u00e9 vady alebo deform\u00e1cie v\u00fdrobku v medziach a za podmienok uveden\u00fdch v nasledovnom cl\u00e1nku.<br><br><strong>c l. V Reklam\u00e1cie<\/strong><br><br>5.1 Pred\u00e1vaj\u00faci zodpoved\u00e1 za vady, ktor\u00e9 m\u00e1 dodan\u00fd tovar pri jeho prevzat\u00ec z\u00e1kazn\u00eckom a za vady, ktor\u00e9 sa vyskytn\u00fa po prevzat\u00ec tovaru pocas z\u00e1rucnej doby. Z\u00e1rucn\u00e1 doba je 24 mesiacov.<br>5.2 V pr\u00ecpade reklam\u00e1cie mus\u00ec kupuj\u00faci zabezpecit&#8216; uschovanie reklamovan\u00e9ho tovaru za \u00facelom jeho kontroly v konfront\u00e1cii s pred\u00e1vaj\u00facim a taktie\u017e mus\u00ec uschovat&#8216; p\u00f4vodn\u00fd obal spolocnosti Polieco Slovakia, ak existuje. U v\u00fdrobkov dodan\u00fdch bez obalu mus\u00ec vykonat&#8216; prevent\u00ecvne kontroly a odsun na vykl\u00e1dku tovaru v pr\u00ecpade s\u00fadneho sporu.<br>5.3 Na z\u00e1klade horeuveden\u00fdch z\u00e1ruk a v pr\u00ecpade od\u00f4vodnenosti vcas podan\u00fdch reklam\u00e1ci\u00ec je pred\u00e1vaj\u00faci povinn\u00fd v\u00fdlucne na vlastn\u00e9 n\u00e1klady vymenit&#8216; chybn\u00fd tovar, resp. jeho cast&#8216; alebo refundovat&#8216; k\u00fapnu cenu v pr\u00ecpade, \u017ee by nebola schopn\u00e1 ho vymenit&#8216;.<br>5.4 Pred\u00e1vaj\u00faci v \u017eiadnom pr\u00ecpade neposkytuje z\u00e1ruky, n\u00e1hrady \u0161k\u00f4d a rucenia l\u00ec\u0161iace sa od rucen\u00ec uveden\u00fdch v t\u00fdchto podmienkach, ak nie s\u00fa kogentne stanoven\u00e9 z\u00e1konom, najm\u00e4 za priame, nepriame alebo n\u00e1sledn\u00e9 vady alebo za u\u0161l\u00fd zisk. Kupuj\u00faci tie\u017e nem\u00f4\u017ee v pr\u00ecpade v\u00e1d tovaru jednostranne zru\u0161it&#8216; zmluvu, zastavit&#8216; alebo vynechat&#8216; platbu alebo zn\u00ec\u017eit&#8216; cenu.<br>5.5 V pr\u00edpade, \u017ee tovar nie je v zhode s technickou \u0161pecifik\u00e1ciou Polieco, reklam\u00e1ciu je potrebn\u00e9 vydat a poslat n\u00e1m do 8 dn\u00ed od dorucenia tovaru. <br><br><strong>c l. VI Cena a platobn\u00e9 podmienky<\/strong><br><br>6.1 Cena tovaru predan\u00e9ho spolocnost&#8217;ou Polieco Slovakia sa pri tovare pred\u00e1vanom na metre rozumie ako cena za tovar meran\u00fd pri odchode, ako to vypl\u00fdva z tohto dokumentu. Pri tovare pred\u00e1vanom na kus je cena stanoven\u00e1 na 1 ks v\u00fdrobku.<br>6.2 Splatnost&#8216; fakt\u00far je urcen\u00e1 na 30 dni odo dna vystavenia fakt\u00fary. Nesk\u00f4r sa dodatkom m\u00f4\u017ee splatnost&#8216; fakt\u00far predl\u017eit&#8216;.<br>6.3 V pr\u00ecpade ome\u0161kania z\u00e1kazn\u00ecka s \u00fahradou fakturovanej sumy je pred\u00e1vaj\u00faci opr\u00e1vnen\u00fd po\u017eadovat&#8216; od z\u00e1kazn\u00ecka zaplatenie \u00faroku z ome\u0161kania vo v\u00fd\u0161ka 0,05% z dl\u017enej sumy za ka\u017ed\u00fd den ome\u0161kania, a pri ome\u0161kan\u00ec presahuj\u00facom 15 dn\u00ec je pred\u00e1vaj\u00faci opr\u00e1vnen\u00fd docasne, a\u017e do zaplatenia fakturovanej sumy, neumo\u017enit&#8216; z\u00e1kazn\u00eckovi d&#8217;al\u0161ie objedn\u00e1vky tovaru a u\u017e akceptovan\u00e9 objedn\u00e1vky nerealizovat&#8216;, pricom v tomto pr\u00ecpade sa pred\u00e1vaj\u00faci nedost\u00e1va do ome\u0161kania s plnen\u00ecm svojich povinnost\u00ec.<br><br><strong>c l. VII Spolocn\u00e9 ustanovenia<\/strong><br><br>7.1 Ak\u00e9kol&#8217;vek spory, ktor\u00e9 vznikn\u00fa medzi zmluvn\u00fdmi stranami, sa zmluvn\u00e9 strany zav\u00e4zuj\u00fa rie\u0161it&#8216; prednostne vz\u00e1jomn\u00fdm rokovan\u00ecm s ciel&#8217;om vyrie\u0161it&#8216; spor dohodou. V pr\u00ecpade, ak sa zmluvn\u00fdm stran\u00e1m nepodar\u00ec dosiahnut&#8216; v predmete sporu dohodu, je ktor\u00e1kol&#8217;vek zo zmluvn\u00fdch str\u00e1n opr\u00e1vnen\u00e1 obr\u00e1tit&#8216; sa s n\u00e1vrhom na rie\u0161enie sporu na pr\u00ecslu\u0161n\u00fd s\u00fad v Slovenskej republike.<br>7.2 V\u0161etky ozn\u00e1menia a d&#8217;al\u0161ie \u00fakony vr\u00e1tane pr\u00e1vnych \u00fakonov, ktor\u00e9 maj\u00fa byt&#8216; podl&#8217;a pr\u00ecslu\u0161n\u00fdch pr\u00e1vnych predpisov alebo dohody zmluvn\u00fdch str\u00e1n uroben\u00e9 p\u00ecsomne alebo bud\u00fa uroben\u00e9 p\u00ecsomne, sa bud\u00fa dorucovat&#8216; druhej zmluvnej strane osobne alebo doporucenou po\u0161tou na posledn\u00fa zn\u00e1mu adresu tejto zmluvnej strany.
